General Terms of Sale and annex — version 2026-11-v1

Archived version: this text is never changed.

General Terms of Sale

These General Terms of Sale (the "Terms of Sale") apply to orders for the plans of the CODE SOURCE — Timeline Méta-Conscience application, offered by EI Laetitia Lemoussu — SOLARA, SIRET 481 845 881 00046, 47 rue Vivienne, 75002 Paris, France ("Solara"). Contact: direction@codesource-metaconscience.com. They supplement the Terms of Use.

Article 1 — Business clients

The plans are reserved for professionals (companies, self-employed persons, associations) acting for the purposes of their business. By placing an order, the client declares that it is acting in a professional capacity.

Article 2 — Plans and prices

Prices are stated in euros and are payable only in euros, whatever the client's country:

VAT not applicable, art. 293 B of the French General Tax Code.

If the seller's VAT status changes, prices will be increased by the applicable VAT, with prior notice to the client.

All plans include 3 refinements per analysis, within 15 days of the analysis. A refinement is not counted against the plan.

Article 3 — Orders

The client orders through the form on the website, by ticking the box accepting these Terms of Sale. Solara records the date, the time, the plan chosen and the version of the Terms of Sale accepted, and sends the client payment instructions within 24 business hours.

Article 4 — Payment

Payment is made by bank transfer or by secure payment link, according to the instructions sent to the client. Payment falls due as follows:

In the event of late payment, penalties at 3 times the legal interest rate and a fixed compensation of €40 for recovery costs are due (articles L441-10 and D441-5 of the French Commercial Code). No discount is given for early payment.

If an unpaid amount remains unpaid 8 days after a reminder, Solara may suspend access until payment is made.

Article 5 — Opening of the account

The account is opened once payment has been received. The client receives a personal link to choose a password and, at that point, accepts these Terms of Sale.

Article 6 — Term and termination

The Subscription and the Firm plan are concluded for an initial term of one (1) year, then renewed by tacit renewal for successive periods of one (1) year. The client may terminate them:

Article 7 — Price changes

Solara may change its prices for renewal periods, by informing the client at least 3 months before the anniversary date. The client may then terminate at no cost on that date.

Article 8 — Termination for breach

Either party may terminate the contract if the other fails to remedy a serious breach, in particular non-payment or use contrary to the Terms of Use, within 30 days of a formal notice.

Article 9 — Monthly allowance

Beyond the Subscription allowance, no new analysis can be started before the following month; the client may ask to move to the Firm plan.

Beyond the Firm plan allowance, each additional analysis is confirmed by the client in the application before it starts, then invoiced at €59.

Article 10 — Firm plan: situations of the firm's clients

The firm enters the situations of its own clients into the application. It is responsible for obtaining their agreement and for respecting their confidentiality.

Article 11 — Personal data

The annex "Data Processing Agreement" forms part of these Terms of Sale. It applies to the Firm plan and to any client who enters the data of its own clients. For the Firm plan, accepting the Terms of Sale means accepting this annex, as the acceptance box states.

Article 12 — Liability

Reports are produced by artificial intelligence and are a decision-making aid; they do not replace legal, financial, accounting, medical or human resources advice. The client remains solely responsible for its decisions.

Solara is bound by an obligation of means and not of result. Its liability is limited to direct damage and capped at the amounts paid by the client during the last 12 months.

Article 13 — Specific terms

Specific terms agreed in writing (custom plan) may supplement or amend these Terms of Sale. They prevail in the event of a contradiction.

Article 14 — Evidence agreement

The parties acknowledge that the application's records (ticked acceptance box, date, time, e-mail address, version of the Terms of Sale accepted, confirmation e-mail) constitute valid evidence of their agreement. The accepted version remains available at a permanent link, given in the confirmation e-mail.

Article 15 — Force majeure and change of circumstances

Neither party is liable for a failure caused by an event beyond its control, which could not reasonably have been foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures. The party prevented informs the other without delay. If the impediment is temporary, performance is suspended; if it is permanent or lasts more than sixty (60) days, either party may end the contract in writing, without compensation, and sums for any period not performed are refunded.

If a change of circumstances unforeseeable when the contract was concluded makes performance excessively onerous for a party that had not agreed to bear that risk, that party may ask the other to renegotiate and continues to perform its obligations during renegotiation. If renegotiation is refused or fails, the parties may agree to end the contract or ask the court to adapt it, under the conditions set by the applicable law.

Article 16 — Governing law and jurisdiction

As long as the seller is EI Laetitia Lemoussu — SOLARA, these Terms of Sale are governed by French law and any dispute falls within the jurisdiction of the courts of Paris.

If the contract is transferred to a company established in New Caledonia, with at least thirty (30) days' notice to the client, the contract is governed, from that transfer, by the law applicable in New Caledonia, and any dispute falls within the jurisdiction of the courts of Nouméa.

In all cases, the General Data Protection Regulation (GDPR), where it applies, and mandatory rules protecting consumers remain applicable.

Annex — Data Processing Agreement (Article 28 GDPR)

Between the client (the "Controller"), who enters the data of its own clients into the application, and EI Laetitia Lemoussu — SOLARA, SIRET 481 845 881 00046, 47 rue Vivienne, 75002 Paris, France (the "Processor"). This agreement applies to the Firm plan and to any client who enters the data of its own clients.

1. Subject matter and duration

The Processor processes personal data on behalf of the Controller in order to provide the CODE SOURCE application. This agreement applies throughout the contract, then until the data is deleted as set out in section 9.

2. Nature and purpose of the processing

Hosting, transmission to the artificial intelligence provider, automated analysis and delivery as reports of the situations entered by the Controller, and sending service e-mails.

3. Data and data subjects

4. Instructions

The Processor acts only on the documented instructions of the Controller: these instructions are this agreement and the actions the Controller performs in the application. If an instruction appears to the Processor to infringe applicable law, it informs the Controller immediately.

5. Confidentiality

The Processor ensures that anyone authorised to process this data is bound by a duty of confidentiality. The data is not used for any purpose other than providing the service.

6. Security

The Processor implements the following measures: encrypted communications (HTTPS), password hashing, separation of data between accounts, no technical secrets in the application's code, limited retention of the account of the situation and of the answers (section 9), backups containing neither of these.

7. Assistance to the Controller

The Processor assists the Controller, as far as possible, in responding to requests to exercise data subjects' rights (access, rectification, erasure, restriction, objection, portability), and in meeting its obligations regarding security, notification, impact assessment and prior consultation. The Controller can itself delete the account of the situation and the answers at any time from the report page. Any request received directly from a data subject is forwarded to the Controller.

8. Personal data breaches

The Processor notifies the Controller of any personal data breach as soon as possible, and no later than 48 hours after becoming aware of it, stating its nature, its likely consequences and the measures taken.

9. Retention, deletion and return

10. Audits

The Processor makes available the information needed to demonstrate compliance with this agreement. The Controller or an appointed auditor bound by confidentiality may carry out one audit per year at most, at the Controller's expense, preferably by questionnaire or documents. An on-site audit is possible only if the documents provided are insufficient or in the event of a data breach, with 30 days' notice. These limits do not apply to requests from a supervisory authority.

11. Sub-processors

The Controller authorises the use of the sub-processors below. The Processor informs the Controller of any change at least 30 days in advance, allowing the Controller to object and, failing agreement, to terminate. The Processor remains liable for their obligations and imposes equivalent obligations on them.

Retention at Anthropic, according to its documentation (updated on 1 July 2026): the text received and produced is deleted automatically within 30 days. If content is flagged by its safety systems as violating its usage policy, it may be kept for up to 2 years, and classification scores for up to 7 years. Longer retention remains possible where the law requires it. This period is in addition to the 15-day retention set out in section 9, which concerns the application's database. Anthropic does not use this data to train its models under its commercial offerings.

12. Transfers outside the European Union

Some sub-processors process data outside the European Union, in particular in the United States. These transfers are covered by the safeguards in Chapter V GDPR, in particular the European Commission's standard contractual clauses, in accordance with these providers' agreements.
